Welcome to LetsDuck. By accessing our website or engaging our services, you agree to the following Terms and Conditions. Please read them carefully before working with us.

1. About Us

LetsDuck is a 360 Marketing Agency offering a full range of services including Social Media Marketing, Paid Advertising, Branding and Design, Content Creation, AI Video Ads and Images, Influencer and Content Creator Management, and Video Production. These terms apply to all services we provide.

2. Acceptance of Terms

By signing a proposal, paying an invoice, or instructing us to begin work, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you are entering into this agreement on behalf of a business, you confirm you have the authority to do so.

3. Our Services

We will deliver the agreed scope of services as outlined in your proposal or project brief. Any changes to the scope, additional deliverables, or new requests beyond what was agreed may be subject to additional costs and revised timelines. We will always communicate this clearly before proceeding.

4. Client Responsibilities

To allow us to deliver the best results, you agree to:

  • Provide accurate and complete information, assets, and approvals in a timely manner

  • Review and respond to deliverables within the agreed timeframe

  • Ensure all materials you provide to us are legally owned or licensed by you

  • Designate a point of contact for the duration of the project

Delays caused by late feedback, missing assets, or unresponsiveness may affect timelines and are not the responsibility of LetsDuck.

5. Payment Terms

We work on a mix of upfront, retainer, and per-project payment models depending on the nature of the engagement. Your specific payment structure will be outlined in your proposal or agreement.

  • Invoices are due by the date specified on the invoice

  • Work will not commence or continue if payment is overdue

  • Late payments may incur a delay in delivery or suspension of services

  • All fees are non-refundable once work has begun unless otherwise agreed in writing

  • Ad spend, talent fees, production costs, and third-party expenses are billed separately and must be approved by the client in advance

6. Intellectual Property

Upon receipt of full payment, ownership of final deliverables created specifically for you will transfer to you. This excludes any pre-existing assets, tools, frameworks, or materials owned by LetsDuck or licensed third parties.

We reserve the right to use completed work in our portfolio, case studies, and promotional materials unless you request otherwise in writing before the project begins.

7. Influencer and Content Creator Management

When LetsDuck manages influencers or content creators on your behalf, we act as an intermediary. We are not liable for the actions, statements, or content published independently by any influencer or creator outside of the agreed brief. All influencer contracts and deliverables will be agreed upon by both parties before activation.

8. Paid Advertising

For paid media campaigns, you are responsible for providing or approving the advertising budget. LetsDuck will manage campaigns to the best of our ability, but we do not guarantee specific results, reach, or return on ad spend, as performance is subject to platform algorithms, market conditions, and audience behaviour.

9. Video Production and Shoots

For video production and ad shoots, project timelines, deliverables, and usage rights will be outlined in a separate production agreement. Travel, location, talent, and equipment costs will be itemised and require client approval before shoot day.

10. Revisions and Approvals

The number of revisions included will be stated in your proposal. Additional revisions beyond the agreed number may be charged at our standard hourly or day rate. Once a deliverable has been approved by the client, it is considered final.

11. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the engagement. We will not disclose your business strategies, data, or materials to third parties without your consent, except where required by law.

12. Termination

Either party may terminate the agreement with written notice as specified in the proposal. In the event of termination, you are liable for payment of all work completed up to the date of termination. Any outstanding invoices remain due and payable.

13. Limitation of Liability

LetsDuck's total liability in connection with any project will not exceed the total fees paid by you for that specific project. We are not liable for any indirect, consequential, or loss of revenue claims arising from the use of our services.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. The latest version will always be available on our website. Continued engagement with our services constitutes acceptance of any updates.
